The Program:

As a marketing incentive, the Company is offering Members the opportunity to participate in its Viral Network Marketing (VNM) Program. It is a chance for individuals, merchants and other affinity groups to generate credits for marketing the use of the private currency. Simply introduce your friends, neighbors and business associates, then ask them to name you as their referrer. You can also receive credit by paying your creditors in Millennium Dollars™, and asking them to name you as their referrer. The credits will be paid in the form of Millennium Dollars™, that will be periodically distributed to the participating Member's Gresham Account.

The VNM Program will be run by Real Money Network, Inc. (RMN), a wholly-owned subsidiary of the Company. As such, RMN will receive the marketing incentive credit on the outstanding volume of Millennium Dollars™ held by its Members, which it will then distribute as indicated by the rules (the Rules) as set forth herein.

 

The Rules:

1. Any person, or legal entity, may qualify to participate in the VNM Program, simply by:
   
   (a) opening a Gresham Account™,
   (b) electing to be an active Member in the VNM Program, and
   (c) by agreeing to the Viral Network Marketing Agreement.
   
   
2. In return for marketing services, the Company will distribute a credit in Millennium DollarsTM to RMN equal to one percent of the outstanding volume of Millennium DollarsTM per annum. The actual determination of the credit will be prorated and determined daily in arrears. RMN will then periodically redistribute the credit to participating Members based upon the new Gresham AccountsTM opened by the Members on each of five levels deep.
   
   
3. The Company will not disclose the amount of private currency held by any individual account. Hence, the redistributions will be based upon the average number of Millennium Dollars™ per account for those Members participating in the VNM Program.
   
   
4. The distribution per level will be as follows:

5. In order to receive credit for enrolling a new Member in the VNM Program, the new Member must correctly enter the e-mail address of the referrer on his or her application for the Gresham Account™.
   
   
6. VNM Program Members can receive credit for a referral, even if the new Member does not elect to become an active member in the VNM Program. However, under such circumstances, the referrer will not know the identity of his new sign-up.
   
   
7. If a VNM Program Member elects to close his or her Gresham Account™, then he or she will lose the credit. However, credit for the account opened will continue to accrue to his or her original referrer, less the credit for the teriminated Member. If the Member closing the acount reopens a new Gresham Account™ within 30 days, then the distributions can be reinstated, subject to a reasonable fee to cover the Company's expenses.
   
   
8. Members in the VNM Program can elect to become inactive at a subsequent date, and any Member, who is inactive can become active. This will switch off, or on, the credit for said Member. However, the Company may elect to set the maximum number of switches permitted per Member.
   
   
9. The Company reserves the right to change the rules of the Virtual Network Marketing Program, as well as the right to terminate the VNM Program at its sole discretion. It shall also have the right to readjust the marketing incentive credit distributed to the participating Members. Nonetheless, upon any termination of the VNM Program, the distributions will continue at the current rate for a period of five (5) years. During this period credit will be given only for Gresham AccountsTM that were opened prior to the termination of the VNM Program, which remain open and active.
   
   
10. The distributions, to those participating in the Viral Network Marketing Program, will be determined solely by RMNI; which will be final. The distributions will be made in Millennium Dollars™ to the Members' Gresham Accounts™. The minimum distribution will be one Millennium Dollar™.
